1. Agreement to Terms

By accessing and using the Candor Technology Services website ("Website") and engaging our services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not use the Website or Services.

2. Services Description

Candor Technology Services provides website development, digital marketing, branding, and custom software development services. The specific scope of each engagement is defined in a separate proposal, statement of work, or service agreement ("Service Agreement").

3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information required for project delivery
• Grant necessary access to systems, accounts, and assets
• Review deliverables promptly and provide feedback within agreed timeframes
• Make payments according to the agreed schedule
• Comply with all applicable laws and regulations

4. Intellectual Property

Client Content

You retain all intellectual property rights in content you provide (text, images, logos, brand assets). You grant us a limited license to use, modify, and display such content solely for the purpose of delivering the Services.

Deliverables

Upon full payment, ownership of custom-developed deliverables (code, designs, configurations) transfers to you, except for: (a) our pre-existing libraries, frameworks, and tools; (b) third-party components governed by their own licenses; (c) generic functional elements not unique to your project.

Our Portfolio Rights

We reserve the right to showcase completed projects in our portfolio, case studies, and marketing materials, including screenshots, project descriptions, and results, unless otherwise agreed in writing.

5. Fees and Payment

Fees, payment schedules, and any additional costs are specified in the Service Agreement. Invoices are due upon receipt unless otherwise stated. Late payments may incur interest at 1.5% per month. We reserve the right to suspend work for overdue accounts.

6. Timelines and Changes

Project timelines are estimates based on the agreed scope. Delays caused by client dependencies, change requests, or unforeseen technical complexity may extend timelines. Change requests are subject to written approval and may affect cost and schedule.

7. Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the engagement, including business plans, technical data, credentials, and proprietary processes. This obligation survives termination of the Service Agreement.

8. Warranties and Disclaimers

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.We do not guarantee specific business outcomes, search rankings, traffic levels, or revenue increases.

9. Limitation of Liability

To the maximum extent permitted by law, Candor Technology Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from the Services shall not exceed the total fees paid by you for the applicable Service Agreement.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) content you provide that infringes third-party rights; (c) your violation of applicable laws.

11. Termination

Either party may terminate the Service Agreement with written notice. Upon termination, you shall pay for all work completed and expenses incurred up to the termination date. Confidentiality, IP, and liability provisions survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of courts in Kolkata, West Bengal.

13. Force Majeure

Neither party is liable for delays or failures due to events beyond reasonable control, including natural disasters, pandemics, government actions, or internet infrastructure failures.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Website or Services after changes constitutes acceptance. For active Service Agreements, amendments require mutual written consent.
